Back From the Brink
Reading the fine print saves a business deal

Our client, a gas-station dealer, had negotiated the sale of the assets of his business without the benefit of counsel. When he came into our office, the buyer’s attorney has already sent to him an asset purchase agreement and, due to the passage of several weeks, a letter threatening suit unless the client immediately honored the agreement. Upon review of the document, we were able to locate several terms which we found ambiguous or incomplete. We kept the deal alive by communicating with the buyer’s attorney in a firm but non-threatening and businesslike manner. We resolved the terms in the document we had challenged and successfully concluded the transaction.
